MOTOR MAZAD L.L.C FZ., a company incorporated in the United Arab Emirates, with Trade License number 2100122.01 and the registered office at Meydan Freezone, Al Meydan Hotel, Dubai, UAE, (hereinafter, “Motor Mazad L.L.C FZ.”, “we”, “us” or “our”), operates and maintains the Platform and Content for the use of our customers, employees and members of the general public and only for the lawful purposes described below.

MOTOR MAZAD L.L.C FZ. is a company that provides an online auction platform for a Seller to list a car for sale and a Buyer to bid on a vehicle with the intent of purchasing such a vehicle. We do not act as agents of the Seller, and we do not sell, buy or exchange any vehicles. Nothing in these Terms is intended to be or establish any type of joint venture, employee-employer, escrow, partnership, or any fiduciary relationship between the parties. We are neither involved in the contracting process nor a party to the sale contract between the Buyer and the Seller. We do not own any of the lots. It will be mentioned in the specific vehicle on the platform if we own any lot.

NOTWITHSTANDING ANY ORAL OR WRITTEN INFORMATION, OPINIONS, EVALUATIONS, DESCRIPTIONS, OR CONSULTATIONS OF ANY KIND FURNISHED BY MOTOR MAZAD L.L.C FZ. TO THE CONTRARY, YOU SPECIFICALLY AGREE TO THE TERMS SET FORTH BELOW.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ANY OF THE PLATFORMS.

These Terms are between Motor Mazad L.L.C FZ and you as an end user of the Platforms and the services. Changes in law and regulations, or changes in Motor Mazad L.L.C FZ. business may require changes to be made to the Terms from time to time. Motor Mazad L.L.C FZ. encourages you to review the Terms periodically for any such changes. It is also your responsibility to carefully read, agree with and accept the Terms and Platforms’ Privacy Policy (the "Privacy Policy" – available here) and Cookie Policy (the “Cookie Policy” – available here) on each occasion you use the Platforms and your continued use of the Platforms shall signify your acceptance to be bound by the l atest Terms and Privacy Policy. If you do not agree to (or cannot comply with) any of the Terms, do not use the Platforms.

All credit/debit card details and personally identifiable information will NOT be stored, sold, shared, rented, or leased to any third parties.

We accept payments online using Visa and MasterCard credit/debit cards in AED (or any other agreed currency).

You agree that you are solely responsible for all costs and expenses you may incur with your use of the Platform, and by accessing the Platform, you acknowledge that you have all the required and valid government licenses necessary for transacting business with us.

1.You agree to comply with all legal requirements of the applicable jurisdiction(s) with regard to your use of the Platforms, and you acknowledge that you are entirely responsible for ensuring your own familiarity with such requirements and your own compliance with the same.

2.The Platforms may at times provide opportunities for users to post reviews and other comments, questions, suggestions, or other information ("User Content") on or through these Platforms by e-mail or mobile, or otherwise as may be disclosed, submitted or offered in connection with your use of the Platforms. You warrant that any such User Content submitted by you to the Platforms is original (and does not infringe the intellectual property rights of others), and you hereby grant Motor Mazad L.L.C FZ. a perpetual, irrevocable, non-exclusive, royalty-free, transferable right and license to use such User Content however Motor Mazad L.L.C FZ. desires, including without limitation and liability, to copy, reproduce, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell

and/or distribute such User Content and/or incorporate such User Content into any form, medium or technology throughout the world, without any further recourse to you, and you hereby waive any rights in such User Content. You agree that you will not post any Content that is contrary to morality, defamatory, inflammatory, or that may otherwise breach common decency, contain libellous or otherwise unlawful, threatening, abusive, obscene material, software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or that contravenes any laws and regulations.

3.You agree that any User Content submitted by you to the Platforms will not violate the Terms or any right of any third party, including without limitation, copyright, trademark, privacy, or other personal or proprietary right/s, and will not cause injury to any person or entity.

4.Motor Mazad L.L.C FZ. is and shall be under no obligation (1) to maintain any User Content in confidence; (2) to pay to user any compensation for any User Content; or (3) to respond to any User Content.

5.Motor Mazad L.L.C FZ. may not regularly review posted User Content but does reserve the right (but not the obligation) to monitor and edit or remove any User Content submitted to the Platforms. You grant Motor Mazad L.L.C FZ. the right to use the name that you submit in connection with any User Content. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any User Content you submit. You are and shall remain solely responsible for the content of any User Content you make and you agree to indemnify Motor Mazad L.L.C FZ. and its affiliates for all claims resulting from any User Content you submit. Motor Mazad L.L.C FZ. and its affiliates take no responsibility and assume no liability for any User Content submitted by you or any third party.

1.To gain access and usage of the full features of the Platform, including but not limited to bidding and listing, you must first register on our website or mobile app and create log-in credentials to access your account.

2.You may register if you are at least 18 years old and represent and warrant that you are an individual or an agent with full capacity to form a binding contract. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization’s or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms).

3.You must provide all information required such as first and last name, address, valid Emirates ID, or passport copy, and driving license, valid trade license where applicable, a deposit amount, a valid payment method, and other information we request from time to time as part of your account creation process. You must also ensure that you update your information without delay if it becomes inaccurate. Any personal information we collect from you is processed by us in accordance with our Privacy Policy.

4.Upon registration, we will instruct a third-party payment gateway provider to verify your name and address before you can use the Platform. The information you submit to us, including as part of your account creation and registration or use of the Platform, must be truthful, accurate, and not misleading.

5.You must confirm that you have legal ownership or that you are an official Agent of the Auction Lot. If the vehicle is subject to finance, the outstanding amount must be confirmed prior to listing.

6.You must provide us with a valid payment method for our fees. Motor Mazad L.L.C FZ. accepts payment via bank transfer, cheque (needs clearance), or debit/credit card (Visa or Master card). All payments will be converted to United Arab Emirates Dirham (AED) and you will be responsible for any exchange rate fluctuations and charges. Note that our system will only block a pre- authorisation amount of 2,500 AED from the credit card when making a payment with us.

7.You are solely responsible for safeguarding your account password and other personal details. As part of our security procedures, you will be prompted for an OTP to register your account or change or update your information. You must treat such information as confidential. You must not disclose it to any third party.

8.We have the right to disable any user at any time and without notice if, in our reasonable opinion, you have failed to comply with any of the provisions of these Terms.

9.If you know or suspect that anyone other than you know your user account details, you must promptly notify us.

10.You are responsible for maintaining and promptly updating the registration data to ensure that all information is always authentic, accurate, current, and complete.

11.A violation of any of this Account Registration section are grounds for termination of your account and the right to use or access the Platform. If you provide any information that is untrue, inaccurate, not current, or incomplete, or we have a reasonable ground to suspect the same or in case of fraud, monetary or reputation loss, Motor Mazad L.L.C FZ. has the right to suspend or terminate your account resulting to the forfeiture of your deposit and Motor Mazad L.L.C FZ has the sole discretion to refuse use of all current or future services (or any portion thereof).

1.If you are a Seller, you represent and warrant that you are the legal owner or the Agent of the Auction Lot and are free to sell the vehicle proposed to be listed on the Platform.

2.After careful and thorough inspection conducted by our inspectors, it will be under the sole discretion of Motor Mazad L.L.C FZ. to decide and confirm if the vehicle is accepted to be listed on the public auction Platform or on the dealer exclusives auction. The Seller is responsible for providing us with the accurate documentation that we request before we accept the car for the auction.

3.Motor Mazad L.L.C FZ. may assist Sellers in the creation of their listings (including the Content of such listings), but it remains each Seller's sole responsibility to make sure that its listings are accurate. There will be a pre-auction period where you will need to wait for the vehicle to go live on the Platform.

4.As a Seller listing an Auction Lot for sale, you are solely responsible for the factual accuracy of and for any judgments or opinions expressed in the description of each vehicle given to us by you and for any error, misstatement, or omission of information in that description, as well as the condition, authenticity, and quality of the vehicle.

5.The description of the vehicle should be to the best of the Seller's knowledge, accurate, and not misleading. The Seller will before the live auction, notify Motor Mazad L.L.C FZ. in writing of any material alterations to the Auction Lot of which the Seller is aware and of any concerns expressed by third parties in relation to the authenticity, provenance, origin, age, condition or quality of the Auction Lot, and has provided Motor Mazad L.L.C FZ. with all such information in the Seller's possession or control.

6.While Motor Mazad L.L.C FZ. does perform some verification processes, Motor Mazad L.L.C FZ. shall not be liable to the Seller or the Buyer for any error or misstatement in or omission from the description of any vehicle where:

6.1.Motor Mazad L.L.C FZ. has provided the Seller with a copy of the description at least 24 hours prior to the Live Auction;

6.2.neither the Seller nor any person on his/her behalf has notified Motor Mazad L.L.C FZ. in writing at least 24 hours before the Live Auction of any error or misstatement in or omission from the description, and Motor Mazad L.L.C FZ. may treat that description as accepted by the Seller.

7.If the Seller notifies us in writing of any amendments to the description during the Live Auction, we will use our reasonable endeavours to announce these amendments in the comments section of the auction. We have the right to end the auction early at any time if we prove that the information provided is not factual and accurate.

8.The Seller gives Motor Mazad L.L.C FZ. the full and absolute right to photograph and illustrate any vehicle committed for sale, and to use such photographs and illustrations at any time at its absolute discretion (whether or not in connection with the live auction). Photographs and illustrations used for the vehicles are for identification purposes only. They may not show the true condition of the vehicle (which may be inaccurately reproduced).

9.Motor Mazad L.L.C FZ. gives no warranty or representation as to any Auction Lot's anticipated or likely selling price. Any estimate given, whether written or oral, as to the estimated selling price of any vehicle is a statement of opinion only and may be subject to revision from time to time at Motor Mazad L.L.C FZ.’s sole discretion and should not be relied upon as an indication of the actual selling price. However, the advertised mileage will not exceed more than the agreed range at the point of collection by the Buyer, details of which will be captured during the vehicle inspection and a written agreement between the Seller and Motor Mazad L.L.C FZ prior to the live auction.

10.After the Auction Lot is accepted for listing, you are bound to have the Auction Lot listed with us exclusively for a period for at least 7 days, plus an additional 72 hours for offline negotiations if necessary. This means that you shall not use any other means of sale during this period. Due to the nature of an auction, we cannot run a live auction if you use another platform to sell your Auction Lot. Therefore, we require you to exclusively use this Platform to sell your vehicle for the duration of the specified timeframe above once we have accepted the Auction Lot.

11.After the reserve price for the vehicle has been mutually agreed upon by the Seller and Motor Mazad L.L.C FZ., the Seller may not increase the set reserve price. The Seller, on the other hand, shall have the right to reduce the set reserve price at any time by providing Motor Mazad L.L.C FZ with written notice.

12.If you, as the Seller, withdraw your vehicle from a live auction or you fail to complete the sale of the vehicle within the timeframe agreed with the Buyer for any reason other than the Buyer's default,

you will be obliged to pay a fees of AED 2,500 to Motor Mazad L.L.C FZ of the reserve price and will be debited from the initial deposit with MotorMazad L.L.C FZ.

12.If a sale is lost due to the failure of the Seller to disclose to Motor Mazad L.L.C FZ. all information that may reasonably be expected to affect the Auction Lot, value, or any other aspect of the vehicle, the Seller shall pay the agreed fees to Motor Mazad L.L.C FZ.

13.If the auction period ends without meeting the reserve or agreed price, the Seller will be given a choice to either relist the vehicle for auction or to have the vehicle go through the In-transit period, wherein the Highest Bidder and the Seller may agree to close the sale for a lower amount than the initially agreed price with the help of Motor Mazad L.L.C FZ Business Development Manager. Otherwise, the vehicle will be considered unsold and the auction officially closed.

14.If the vehicle does not meet the website auction criteria set by Motor Mazad L.L.C FZ., the Seller can opt for the dealer exclusives. In this case, the Seller must bring the vehicle to the Motor Mazad L.L.C FZ. office for inspection and photography. This type of auction has a shorter period and is referred to as “QUICK AUCTION” and will only be visible to users who registered as dealers of the Motor Mazad L.L.C FZ. auction Platform

1.We do not sell vehicles. We are an intermediate platform that allows you to make offers to Sellers and helps facilitate the sale and purchase process. If we own any of the listed vehicles, it will be clearly mentioned on the Platform.

2.Your right to bid is contingent upon you paying a required fee at the beginning of the live auction. The amount will be communicated to you through the website when you onboard and create an account. Unlocking the bid feature at the beginning of the auction would allow you to bid without a limit for a specific vehicle.

3.If you are a Buyer bidding for a vehicle (or making an offer on a vehicle in a specific period — throughout these Terms, the word “bid” shall include making an offer in the live auction period through our Platforms you acknowledge that:

3.1.You have the responsibility to diligently go through the inspection report and all contents on the Platform of the specific vehicle you intend to bid on; 3.2.You have independently determined the description, ownership, value, condition, authenticity, and quality of the vehicle; 3.3.You will pay costs associated with your purchase of a vehicle, including but not limited to taxes, fees, registrations; 3.4.You agree that your bid is a legally binding obligation on you. 3.5.If your bid is successful and meets or exceeds any reserve required by the Seller (unless the Seller waives the reserve), you must pay our fees; 3.6.You are making an irrevocable offer to purchase that vehicle and you must pay the Seller the final amount of your Highest Bid; 3.7.You cannot withdraw your bid; 3.8.You warrant that the funds you use for your purchase of a vehicle, and the payment of our fees, have no link with criminal activity, including, without limitation, money laundering, tax evasion, or terrorist financing.

4.Any bid placed on the methods mentioned earlier is binding and is an irrevocable offer to purchase the Auction Lot from the Seller.

5.In the event that you fail to complete the purchase of the vehicle (including not paying the Seller the final amount of your Highest Bid within the timeframe agreed upon), you will be required to pay Motor Mazad L.L.C FZ. the fees for any reason other than the fault of the Seller. We will assist the Seller in attempting to sell the vehicle to an underbidder.

6.If a Buyer makes the Highest Bid on the vehicle and that bid meets or exceeds the reserve or agreed price with the Seller at the end of the auction, Motor Mazad L.L.C FZ. has the right to sell the vehicle to the Buyer.

7.If your bid is successful, subject to meeting or exceeding any reserve required by the Seller unless the Seller waives the reserve, you will pay the Seller the final amount of your Highest Bid within 48 hours. the unless otherwise agreed with the Seller. If you do not make payment in full to the Seller with the Seller, you will lose the right to purchase the vehicle, and the fees paid and payable to Motor Mazad L.L.C FZ. will not be refundable.

8.If a Buyer does not meet the vehicle's reserve or agreed price, the Highest Bid placed during the live auction will remain open for acceptance by the Seller for a period of 48 hours following the live auction. During this period, Motor Mazad L.L.C FZ. will take steps to contact the Seller and determine if the Seller is willing to accept the bid. Following confirmation from the Seller, Motor Mazad L.L.C FZ. will notify the Buyer if the Seller is willing to accept the bid. The Buyer's bid will be deemed to be rejected if the Seller has not notified us in writing of its willingness to accept within 48 hours following the auction ending. can be extended by written agreement between the Buyer and us. Where the Buyer is notified that the Seller is willing to accept the bid, your bid is successful, and you shall pay our fees. If the Seller rejects the Buyer's bid, Motor Mazad L.L.C FZ. may offer to relist the vehicle.

9.If two bidders tie at the end of the auction, the first Highest Bid recorded by the system will be the Highest Bidder.

10.Motor Mazad L.L.C FZ. may at its sole discretion remove any bid for a vehicle made by a Buyer if:

10.1.The Buyer has not provided us with either a valid payment method for our fees, we could not pre-authorize the Buyer’s payment card, or for any other reason; 10.2.The Buyer has made a clear typographical error; 10.3.we believe the Seller is bidding for the relevant vehicle, or we believe you are bidding on behalf of the Seller; or 10.4 The Buyer did not pass one or more of the background checks we have made on them.

11.We accept no liability whatsoever for any issues of any nature which come to light after your purchase of the vehicle.

1.We do not keep bank details, information, or any data about your payment method registered on our Platform. The payment method registration is solely for enabling the bidder to bid and pay for the auction fees. All verifications are conducted by the third-party online payment gateway service provider.

2.The online payment gateway provider encrypts and tokenizes your credit/debit card information during the payment process. Following the winning of an auction, you will authorize payment of the fees to us within the agreed timeframe. It is your responsibility to ensure sufficient funds are available regardless of pre-authorization. If any payment is declined, your bid may be cancelled by us.

3.The fees for our service will be charged in AED and are exclusive of Value Added Tax. The fee will be communicated to you during the onboarding process and once you have created an account. You are responsible for paying all the applicable taxes in your region. Our payment processor and we cannot be held liable for any tax liabilities you incur as part of any transaction.

4.If you are the Highest Bidder, subject to meeting or exceeding the Seller's reserve price unless the Seller waives it, you will pay us a success fee of AED 2,500 exclusive of Value Added Tax based on the final selling price of the vehicle.

5.The online payment gateway service provider will process the fees for our service on our behalf.

1.Once a listing request is approved, the Seller may not cancel the listing during the initial agreed listing period otherwise, the success fee of AED 2500 will be forfeited from the Seller’s initial deposit and the account will be suspended.

2.All bids on the Platform are binding. If a Seller accepts an offer from the Highest Bidder or the vehicle reaches the agreed or reserve price, both the Seller and the Buyer must complete the transaction.

3.If the auction’s Highest Bidder, for whatever reason, decides to retract the bid during or after the auction, the Highest Bidder’s initial deposit will be forfeited.

4.Note that our system will only block the amount from the credit card when making an online security deposit by credit card. If the card-issuing bank did not release the amount, please raise a dispute with the card-issuing bank.

5.For unsuccessful Bidder’s, the refund of the pre-authorization amount of AED 2,500 will be reflected back to the card/statement within a timeframe advised by the card’s issuing bank. In case of any outstanding balance, used limit, or lots pending approval, the refundwill only be initiated when the items aforementioned are cleared.

6.Refunds will be done only through the original mode of payment.

1.Motor Mazad L.L.C FZ is an intermediate broker introducing the Buyer and the Seller. We explicitly are not involved in any transfer of ownership processes and are not liable for any costs associated with the transfer of ownership.

2.The Buyer is responsible for the transfer of ownership costs.

1.The Buyer is responsible for doing all due diligence before entering into an agreement with the Seller for transporting the vehicle.

2.MotorMazad is not responsible for any costs arising from the shipping of the vehicle. The bidder is encouraged to look into the shipping costs before bidding if the bidder is bidding from a different city or country.

3.MotorMazad L.L.C FZ will assist Buyer with getting shipping quotations from third-party companies.

4.These shipping quotations are non-binding and are only a guide and a mere estimate of the probable shipping cost.

1.Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

2.Payment information you supply to the online payment gateway is not within our control and is subject to the online payment gateway service provider’s own privacy policy and terms and conditions available on their website.

Motor Mazad L.L.C FZ. and our logo are our trademarks. Other trademarks and trade names may also be used on the Platform. The use of any trademarks on the platform is strictly prohibited unless you have our prior written consent.

1.To the fullest extent permissible by law, Motor Mazad L.L.C FZ. does not warrant that the Platforms or any of the Services or Products available through it will be uninterrupted or free from errors, or that the Services will meet any particular criteria of performance or quality. There may be delays, omissions, interruptions, and inaccuracies in materials or services available through the Platforms.

2.Motor Mazad L.L.C FZ. makes no representation or warranties about the accuracy, completeness, timeliness, reliability, or non-infringement of any content on the Platforms or services available through it. Any reliance that you may place on the information on the Platform and your use of the Platform is at your sole risk.

3.All vehicles listed on our platforms are “AS IS” basis. We provide no warranty nor guarantee at all in relation to the vehicle, including as to its history, safety, status, performance, specification, mechanical condition, road worthiness, legal compliance, modification, original construction or manufacture of suitability for any purposes.

4.Although Motor Mazad L.L.C FZ. intends to take reasonable steps to prevent the introduction of viruses, worms, or other malicious code to the Platforms, Motor Mazad L.L.C FZ. does not represent or warrant that the Platforms, services, features, or materials that may be available through the Platforms, are free from such destructive features. Motor Mazad L.L.C FZ. is not liable for any damages or harm attributable to such features.

5.Any Content downloaded or otherwise obtained through the use of the Platform is done at your own risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the downloading of such Content.

6.Electronic transmissions of data including the internet are public media and any use of such media is public, not private. Information related to or arising from such use is either public or the property of those collecting the information and not personal or private information. Motor Mazad L.L.C FZ. does not warrant and cannot ensure the security or confidentiality of any information you transmit to the Platforms. Accordingly, any information you transmit to the Platforms is transmitted at your own risk.

7.Except as provided in these Terms, Motor Mazad LL.C FZ makes no other representations or warranties of any kind, whether express, implied, statutory, oral or written with the respect to the services and the Platform, including any implied warranties.

LIMITATION OF LIABILITY AND INDEMNITY

1.Nothing in these Terms is intended to affect your rights under the law. The use of the Platforms or any of the services or products is at your own risk, and unless otherwise stated in these Terms, you assume full responsibility and risk of loss resulting from your use of the Platforms or any of the Services or Products.

2.By using the Platforms, you agree, to the fullest extent permitted by law, to indemnify and hold Motor Mazad L.L.C FZ., its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of your breach of these Terms, your use of the Platforms or any of the Services, your non-compliance with applicable laws or regulations in the jurisdiction in which you are accessing the Platforms or the Services, or any action taken by Motor Mazad L.L.C FZ. as part of its investigation of a suspected violation of these Terms or as a result of its finding or decision that a violation of these Terms has occurred. You agree to defend, indemnify and hold harmless Motor Mazad L.L.C FZ. and its affiliates from and against any and all claims, losses, costs, and expenses, including attorneys' fees, arising from or related to your use of the Platforms or any breach by you of these Terms.

3.Under no circumstances and under no legal or equitable theory, whether in tort, contract, strict liability, or otherwise shall Motor Mazad L.L.C FZ. or any of its affiliates, employees, directors, officers, agents, vendors, or suppliers be liable to you or to any other person for any indirect, special, incidental or consequential losses or damages of any nature, including without limitation, losses for lost profits, loss of goodwill, loss of data, work stoppage, business interruption, accuracy of results, or computer failure or malfunction, even if an authorised representative from Motor Mazad L.L.C FZ. has been advised or should have known of the possibility of such losses,

arising out of or in connection with (i) the use or inability to use the Platforms; (ii) your use of or reliance on the Platforms, any information, hyperlinks or content contained therein, or services included on or otherwise made available to you through the Platforms; (iii) your provision of information, personal or otherwise, to Motor Mazad L.L.C FZ.; (iv) the provision of Services by Motor Mazad L.L.C FZ.; (v) acts or negligence on the part of Motor Mazad L.L.C FZ.; (vi) the sale, purchase, transportation, delivery, use or disposal of any product, or service associated with the Platforms or available through other sites linked to the Platforms, or any loss suffered by or harm to any person or property in any way relating to or caused in whole or in part by your use of the Platforms or any service or product, associated with the Platforms; or (vii) any taxes attributable to the relating to any service or product associated with the Platforms.

4.The information provided on the website is for reference purposes only and shall not be treated as evidence for matters relating to court or disputes or for valuation purposes.

INTELLECTUAL PROPERTY RIGHTS

1.Any video and/or photo footage taken of the vehicle may be shown and posted publicly on social media and other online portals of Motor Mazad L.L.C FZ. as a form of advertising.

2.Any Content including videos, images, and information about the Vehicle granted to Motor Mazad L.L.C FZ. can be used, produced, distributed, and shared by Motor Mazad L.L.C FZ. internally and externally with any Digital Platforms or with third parties and Motor Mazad L.L.C FZ. can prepare derivative works, or copies, and display the content for promotion and redistribution in any form whatsoever in the future without any need to obtain prior consent from the Buyer or objection from the Buyer or any consideration to the Buyer for the same.

3.Motor Mazad L.L.C FZ. has the right to keep the Buyer's data, use it, and share it with any third party for the purpose of completing the sale process and registration, and Motor Mazad L.L.C FZ. has the right to communicate with the Buyer in the future through the means of communication provided by the Buyer for the purposes of advertising and publicity unless the Buyer requests (in writing) otherwise.

1.Any links or references to other online websites ("hyperlinks") contained on the Platforms are provided by Motor Mazad L.L.C FZ. merely as a convenience to you and other users of the Platforms, and Motor Mazad L.L.C FZ. is not responsible for the content or operation of any such linked sites, or liable, directly or indirectly, for the privacy practices or the content of such linked sites. Any hyperlinks to such linked websites should in no way be construed as an endorsement, representation(s), or promotion by Motor Mazad L.L.C FZ. as to the content, representations, accuracy, products, or services found or otherwise described in such linked websites. Use of these linked websites is done at your own risk and with consequences.

2.Motor Mazad L.L.C FZ. reserves the right to correct any errors or omissions in the Platforms and to improve the contents at any time without notice. If you rely on the Platforms and any materials or Services available through them, you do so entirely at your own risk. Furthermore, Motor Mazad L.L.C FZ. reserves the right to alter, limit or discontinue the provision of any of the Services contained on the Platforms at any time without prior notice to you.

3.Motor Mazad L.L.C FZ. may terminate or suspend your access to all or part of the Platforms, without notice, for any conduct that Motor Mazad L.L.C FZ., in its sole discretion, believes is in violation of these Terms or any applicable law or is harmful to the interests of

Except as otherwise expressly stated in these Terms, Motor Mazad L.L.C FZ. shall not be liable to you or to any third party for any modification, termination, suspension, or discontinuation of the Platforms.

4.Motor Mazad L.L.C FZ. may use cookies, or other technologies, on the Platforms. Cookies are small files or records that Motor Mazad L.L.C FZ. may place on your web browser for collecting information about your activities on the Platforms, preparing reports, assessing trends, and otherwise monitoring the way in which the Platforms are being used. 6.You understand that by using the Platform or any services provided on the Platforms, you may encounter content that may be deemed by some to be offensive, indecent, or objectionable, which content may or may not be identified as such. You agree to use the Platforms and any service at your sole risk and that Motor Mazad L.L.C FZ. and its affiliates shall have no liability to you for content that may be deemed offensive, indecent, or objectionable.

7.You acknowledge that the purchased goods licensed or sold on the Platforms, which may include technology and software, are subject to the customs and export control laws and regulations of the United Arab Emirates and may also be subject to the customs and export laws and regulations of the country in which the products are manufactured and/or received. By purchasing, downloading, or using technology or software from the Platforms, you agree to abide by the applicable laws, rules, and regulations and you represent and warrant that you will not transfer, by electronic transmission or otherwise, the software or technology in violation of the law.

8.If you are not a consumer, you confirm that you have the authority to bind any business on whose behalf you use the Platforms.

9.Your unauthorized use of the Platforms may give rise to a claim for damages and/or be a criminal offense.

10.Motor Mazad L.L.C FZ. shall be not held liable for any delay or failure in the performance of any part of these Terms from any cause beyond our control and without our fault or negligence, such as acts of God, acts of civil or military authority, current laws and regulations and changes thereto, embargoes, epidemics, pandemics, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, political unrest, other major environmental disturbances, unusually severe weather conditions, acts of hackers and other illegal activities of third parties, inability to secure products or Services of other persons or transportation facilities, or acts or omissions of transportation or telecommunications common carriers or acts, omissions, overloading or slowdowns over the internet or any third party internet service providers.

11.No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.

12.Unless otherwise agreed in writing, these Terms and the documents referred to in this Agreement contain the whole Agreement between Motor Mazad L.L.C FZ. and the Buyer and supersede all previous agreements between the Parties relating to the transaction.

13.Any notice or other communication to be given under these Terms shall be in writing and in the English language and shall be sent by email to Motor Mazad L.L.C FZ.’s official email mentioned in these Terms.

14.Motor Mazad L.L.C FZ. shall have the right to assign or transfer these Terms or any part thereof to a third party and the Buyer shall consent to such assignment or transfer. On the other hand, the Buyer shall have no right to assign or transfer these Terms or any part thereof to any third party.

15.In the event any provision in these Terms becomes invalid, unenforceable, void, or illegal for any reason whatsoever, such invalidity shall not affect or invalidate any other part of these Terms which shall remain valid and binding on the Parties, the invalid provision being severable from the remaining provisions of these Terms.

GOVERNING LAW AND DISPUTE Any dispute or claim relating in any way to these Terms with Motor Mazad L.L.C FZ. or any products or services sold by Motor Mazad L.L.C FZ. shall be governed by the laws of the UAE. All causes of action arising under these Terms shall be submitted to the exclusive jurisdiction of the Dubai Courts, United Arab Emirates.

2.Unless otherwise specified by Motor Mazad L.L.C FZ., any other method of communication or Agreement with Motor Mazad L.L.C FZ. shall be deemed void.
